Understanding Withholding Tax in Tanzania

Withholding tax is tax deducted at the point of payment, not collected later. The payer deducts it and sends it to TRA; the recipient gets the payment net of tax. It applies to ordinary business payments — rent, interest, dividends, service fees — not just to unusual or cross-border transactions.

Who Must Withhold Tax in Tanzania?

The person making the payment is the withholding agent. Any business making a payment on the list below is one, regardless of size, and regardless of whether the recipient is local or foreign. The recipient is the withholdee.

Which Payments Are Subject to Withholding Tax?

Employment income, dividends, interest, rent, royalties, natural resource payments, service and contract fees, and payments for goods supplied to government institutions. If a payment isn't on this list, withholding generally doesn't apply — but check before assuming.

Resident vs Non-Resident: Does Withholding Tax Apply to Both?

Both are subject to withholding tax — this is the most common wrong assumption. Paying another Tanzanian company doesn't exempt you from withholding; it usually just means a lower rate than you'd apply to a non-resident.

Rates above follow TRA's own published withholding-tax schedule. One rate is worth a specific note: some other current tax summaries list royalties at 15%/15% rather than the 10%/10% shown here — where a primary regulator source and a secondary summary disagree, this guide follows the primary source, but confirm against the Income Tax Act text directly if a specific royalty payment is material enough to justify the check.

Withholding Tax on Services in Tanzania

Service fees attract 5% WHT when paid to a resident, 15% when paid to a non-resident. This applies to professional, consulting, technical and management fees — one of the most common WHT triggers for any business, and the one most often missed on intercompany or related-party invoices where no cash actually seems to be "leaving" the group.

Withholding Tax on Rent in Tanzania

Commercial rent is withheld at 10%, resident or non-resident. This applies to office, warehouse and equipment leases where the payment is a taxable rental income to the landlord — including individual landlords, who are just as often forgotten as corporate ones. Rent connected to a property sale or transfer raises separate stamp duty questions too — see our property tax guide.

Withholding Tax on Interest in Tanzania

Interest is withheld at 10% regardless of whether the lender is resident or non-resident. This applies whether the loan is from a bank, a shareholder, or a related company — shareholder and related-party loans are the ones businesses most often forget to withhold on, since no external bank is involved to prompt it.

Withholding Tax on Dividends in Tanzania

5% for DSE-listed companies and for resident-to-resident dividends where the recipient holds 25%+ of the shares; 10% for other corporate dividends, resident or non-resident. Note this sits alongside, not instead of, the separate 10% deemed-distribution rule on undistributed profit — covered in full in our Corporate Income Tax in Tanzania guide.

Withholding Tax on Royalties in Tanzania

10% under TRA's current published schedule. Applies to licensing, IP and similar payments — commonly missed on cross-border franchise, brand license and software licensing arrangements where the "royalty" isn't labelled as one in the contract.

Withholding Tax on Foreign Payments

Paying a non-resident doesn't avoid withholding — it usually raises the rate. Service fees to non-residents attract 15% instead of 5%; the source of the income (where the work benefits a Tanzanian business) is what matters, not where the supplier is based or paid.

Double Tax Agreements (DTAs): Do They Reduce the Rate?

Where Tanzania has a tax treaty with the recipient's country of residence, the lower treaty rate applies instead of the domestic rate — but this isn't automatic. The recipient typically needs to provide a tax residency certificate before the reduced rate is applied.

Withholding Tax vs VAT Withholding — Don't Confuse Them

Income tax withholding and VAT withholding are different mechanisms under different laws. A designated VAT withholding agent withholds 3% on goods and 6% on services under the VAT Act — separate from the income tax rates above, and reported separately.

Withholding Tax Filing and Payment Deadlines

Withheld tax must be paid to TRA within 7 days after the end of each calendar month. This is a monthly obligation, not annual or quarterly, and applies every month a withholding-triggering payment is made.

Withholding Tax Certificates: How to Get One

Withholding tax certificates are generated through the Taxpayer Portal after payment, and can be printed by either party. The withholdee needs this to support any tax credit claimed later.

Accounting for Withholding Tax

Non-final WHT suffered is a tax asset — a prepaid credit against the year's final tax liability. Final WHT is not recoverable and should be treated as a cost of the transaction, not a receivable.

Withholding Tax and Corporate Tax Credits

Non-final withholding tax suffered during the year is credited against the company's final corporate income tax liability at year-end reconciliation, reducing the balance payable. Final withholding tax cannot be used this way. For the full corporate tax computation this feeds into, see our Corporate Income Tax in Tanzania guide.

Penalties for Failing to Withhold Tax

If you fail to withhold, you still have to pay the amount to TRA yourself — the obligation doesn't disappear, it shifts to you. You can then try to recover it from the payee, but that's a separate commercial problem. Standard statutory interest applies to late remittance.

How TRA Audits Withholding Tax

TRA checks withholding tax the same way it checks other filings — comparing what was withheld and remitted against invoices, payments, and certificates issued or received. Gaps between these records are a common audit trigger.

Does Withholding Tax Work the Same Way in Zanzibar?

Withholding tax is a Union tax under the Income Tax Act, administered by TRA the same way in Zanzibar as on the Mainland. Same rates, same rules, same authority — no separate Zanzibar schedule to check. For everything that is handled differently in Zanzibar (VAT, stamp duty, ZSSF), see our Zanzibar tax guide for businesses.

FAQs

Do I withhold tax when paying another Tanzanian company? Yes, in most cases — residency doesn't exempt the payment, it usually just sets a lower rate.

Is withholding tax final? Depends on the payment category — some is final (no credit), some is non-final (creditable against final tax).

What if I forget to withhold? You still owe TRA the amount. Recovering it from the payee afterward is on you.

When is withheld tax due? Within 7 days of month-end, every month.

Does a tax treaty reduce the rate? Yes, if the recipient provides proof of tax residency in a treaty country — otherwise the domestic rate applies.
